• All fees are non-refundable unless otherwise stated in writing
• Additional work outside the original scope will be billed separately
• Prices may be adjusted with 30 days' written notice for ongoing services
• Clients are responsible for any applicable taxes, duties, or government charges

We accept payment by bank transfer, certified check, or other mutually agreed payment methods. Our bank details and payment procedures will be provided in your service agreement or invoice.

AI Innovation Malaysia provides Services with the following warranty provisions:

• Our AI solutions will be developed and implemented in accordance with industry standards
• We warrant that our Services will be performed in a professional and workmanlike manner
• Our AI algorithms will be based on sound mathematical and statistical principles
• We will provide technical support as specified in your service agreement

IMPORTANT DISCLAIMER: While our AI solutions are developed using advanced technologies and best practices, we cannot guarantee specific business outcomes or performance results. AI systems are inherently probabilistic, and their effectiveness depends on various factors including data quality, implementation specifics, and business context.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AI INNOVATION MALAYSIA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

In no event shall AI Innovation Malaysia, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our Services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our Services
• Any bugs, viruses, trojan horses, or the like that may be transmitted through our Services
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through our Services

Our total liability to you for all damages, losses, and causes of action shall not exceed the amount paid by you to AI Innovation Malaysia for the Services in the twelve (12) months preceding the claim, or RM 10,000, whichever is less.

You agree to indemnify, defend, and hold harmless AI Innovation Malaysia and its subsidiaries, affiliates, officers, agents, employees, partners, and licensors from and against any claim, liability, obligation, damage, loss, cost, or expense, including reasonable attorneys' fees, arising out of or related to:

• Your use or misuse of our Services
• Your violation of these Terms of Service
• Your violation of any third-party rights, including without limitation any copyright, property, or privacy right
• Any claim that any content you submit caused damage to a third party
• Your breach of any representation, warranty, or covenant in these Terms

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

Either party may terminate the service relationship under the following conditions:

• For Cause: Either party may terminate immediately upon written notice for material breach that remains uncured for thirty (30) days after written notice
• For Convenience: Either party may terminate with thirty (30) days written notice for ongoing services
• Immediate Termination: We may terminate immediately for violation of these Terms, illegal activity, or threat to our systems or other users

Upon termination:

• Your right to use our Services will cease immediately
• We will provide reasonable assistance in transitioning services, subject to additional fees
• Outstanding fees become immediately due and payable
• Confidentiality obligations survive termination
• We will retain your data for the period specified in our Privacy Policy

These Terms of Service shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Penang, Malaysia, and you hereby consent to the jurisdiction of such courts.

Disputes shall be resolved through binding arbitration in accordance with the Rules of the Asian International Arbitration Centre (AIAC), except where prohibited by law. This arbitration provision shall survive termination of these Terms and any relationship between you and AI Innovation Malaysia.

Severability: If any provision of these Terms is found to be unenforceable or invalid, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Entire Agreement: These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and AI Innovation Malaysia regarding the use of our Services.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
